CBE SUPPLIER MATCH DAY PARTICIPATION AGREEMENT

Thank you for signing up to participate in the Supplier Match Day (the “Match Day”)
during CBE Week taking place February 24 – 27, 2021! As you sign up, we want to
make you aware of a few rules for participation:

1. Your participation in the Match Day in no way constitutes the approval, endorsement,
certification, or referral by the Coalition of Black Excellence (“CBE” or “we”) of any
product or service provided by you or any participant.

2. We do not guarantee that you will be awarded any job, position, or bid through the
Match Day

3. You may refer to CBE in marketing materials announcing your participation in the
Match Day. However, you may not use any official CBE logos or trademarks without
CBE’s prior written permission. Requests for permission may be submitted to
legal@cbenonprofit.org, but CBE is under no obligation to approve any such request.

4. In exchange for your participation, you hereby grant CBE, its agents and designees a
limited, irrevocable, perpetual, fully paid-up, royalty-free, transferable, sublicenseable,
non-exclusive worldwide license to use, perform, display, execute, reproduce, distribute,
transmit, modify (including to create derivative works) trademarks, service marks, logos,
and other brand indicia (“Participant Marks”) in connection with marketing materials tied
to CBE, CBE Week, the Match Day and associated events for promotional, advertising
or other purposes, in any and all media now known or hereafter devised, including the
Internet, without limitation and without further payment, notification, permission or other
consideration, except where prohibited by law. You have no right of approval, no claim
to any compensation, and no claim arising out of the use, alteration, distortion or
illusionary effect or use in any composite form of such Participant Marks.

5. You are required to submit payment as set forth in the Match Day announcement and the
Sponsorship Package materials for CBE Week found at: https://cbenonprofit.org/wp-

6. You hereby waive and release any and all rights, demands, losses, liabilities, claims and
causes of action whatsoever which you may now or hereafter be entitled to assert against
CBE and its agents, current and future affiliates, suppliers, distributors,
advertising/promotion agencies, and each of their respective officers, directors,
employees and agents from and against any claim or cause of action, including, but not
limited to, personal injury, death, or damage to or loss of property, arising out of
participation in the Match Day.
